In short: organizations buy against a written quote. Prices exclude VAT. Delivery defaults to DAP (Incoterms 2020). Consumer withdrawal rights don't apply, and our liability is capped at the price of the affected goods, except where the law says otherwise.
1. Scope
These Business Terms apply when you buy or reserve Devices, accessories or services as a business, public body or other organization ("Customer"), and not as a consumer. They add to our Terms & Conditions, and take priority where the two differ. A signed quote or agreement takes priority over both. Your own purchasing terms don't apply unless we agree to them in writing.
2. Quotes and orders
Quotes are valid for 30 days unless they state otherwise. A contract is formed when we confirm your order in writing. Volume pricing, deployment, training and support are set in the quote.
3. Reservations for organizations
Organizations can reserve through the website ($99 per Device, refundable before the balance is paid) or through a quote with a deposit agreed in writing.
4. Prices and taxes
- Prices are in US dollars or euros, as quoted, and exclude VAT.
- For EU customers outside Bulgaria with a valid VAT number (checked in the EU's VIES system), the reverse-charge rules apply.
- For customers outside the EU, exports are invoiced without Bulgarian VAT, and import duties and taxes are paid by the Customer.
5. Payment
First orders are paid in advance unless the quote says otherwise. Invoices are due within the period stated in the quote (14 days by default). Late payments accrue statutory interest under Bulgarian law, and we may hold deliveries until overdue amounts are paid.
6. Delivery, risk and inspection
- Delivery is DAP (Incoterms 2020) to the address in the quote unless another Incoterm is agreed. Risk passes on delivery under that Incoterm.
- Please inspect deliveries within 7 days, and report visible damage or missing items in writing within that time.
- Delivery dates are estimates. If we can't deliver within 60 days of a confirmed date, either party may cancel the affected part of the order, and we'll refund any amounts paid for it.
7. Returns
The consumer 14-day right to withdraw doesn't apply to business purchases. We accept returns of unused, resaleable goods only by prior written agreement, and may charge a restocking fee stated in that agreement.
8. Warranty
Devices sold to organizations carry our limited warranty for 12 months from delivery unless the quote states a longer period. Remedies are repair, replacement or, if neither is practical, a refund of the price paid for the affected item.
9. Limitation of liability
Our total liability under a contract is limited to the price paid for the goods or services concerned. We're not liable for lost profits, lost data, business interruption or indirect losses. These limits don't apply to liability for death or personal injury, intent, gross negligence, or where the law doesn't allow a limit.
10. Export controls and lawful use
You're responsible for complying with export-control and sanctions laws when you move, resell or use Devices. We may refuse or cancel orders that would breach those laws.
11. Data protection
Genesis Devices process your data locally. We don't receive your users' questions or documents. If we process personal data on your behalf, for example during on-site setup or support, we'll sign a data processing agreement under Article 28 GDPR.
12. Confidentiality
Each party keeps the other's non-public business information confidential and uses it only for the contract.
13. Law and courts
These Business Terms are governed by Bulgarian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Disputes go to the competent courts of Bulgaria.
